In Türkiye, foreign individuals and legal entities may form a company on the same terms as Turkish citizens. The most commonly preferred types in practice are the limited company and the joint stock company; formation procedures are started through MERSİS and completed at the trade registry directorate.

The critical point in formations with foreign shareholders is that the company is set up in a structure that will later allow it to apply for work permits for foreign staff. If the capital amount, the shareholding structure and the employment plan are not designed correctly from the outset, the file may fail to meet the criteria at the work permit stage. The process step by step

    Structure planning

    The company type and the shareholding and capital structure are planned with your work permit and investment objectives in view.

    Preliminary procedures

    The potential tax identification number is obtained, and the apostille and translation of the foreign documents are completed.

    MERSİS and registry

    The articles of association are prepared, the MERSİS application is filed and trade registry registration is completed.

  4. 4

    Tax and social security registration

    The tax office registration, signature circular and social security workplace registration are carried out.

  5. 5

    Afterwards

    Guidance is provided on the bank account, electronic signature and, where needed, the work permit application.

Company Formation for Foreign Nationals — frequently asked questions

Can a foreign national form a company in Türkiye on their own?

Yes. Limited and joint stock companies can be formed with a single shareholder, and foreign individuals can be the sole shareholder of such companies.

Does forming a company provide a residence permit?

Forming a company does not in itself give rise to a residence permit. A foreign national who will be present in Türkiye as a shareholder or director must separately obtain a work permit or an appropriate residence permit.

Can I employ foreign staff after forming a company?

Yes, but a work permit application requires the workplace to meet the capital, turnover and employment criteria. Designing the structure correctly at the formation stage is therefore important.

Can a company be formed without being in Türkiye?

Procedures can be carried out through a proxy with a duly executed power of attorney drawn up before a notary. Powers of attorney drawn up abroad are subject to the apostille and translation requirement.

How long does formation take?

Where the documents are complete, the registration procedures can be completed within a short time. The main factor determining the timeframe is the time needed for the apostille and translation of documents originating abroad.
